Terms of Service

These Terms of Service ("Terms") govern your use of autobbcc.com (the "Site"), operated by AutoBBCC Inc. ("AutoBBCC," "we," "us"), located at 18008 Skypark Cir. #100B, Irvine, CA 92614. Please read them carefully.

1. Agreement

By using the Site, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Site. If you use the Site on behalf of a company, you confirm you have authority to bind that company.

2. Eligibility

You must be at least 18 years old to use the Site or apply to our programs.

3. Our services

The Site describes AutoBBCC's services for creators and brands, including AI clipping and reposting, campaign matching, sponsored streams, live selling and paid social advertising. Information on the Site, including descriptions of features, packages and prices, is for general information and may change without notice. It is not an offer that you can accept. Any services we provide are governed by a separate written agreement, such as a creator agreement or an advertiser order or statement of work (an "Order"). If an Order conflicts with these Terms, the Order controls.

4. Creator and referral programs

Payout rates, Founder Creator benefits, referral commissions and any other creator terms described on the Site are summaries only. Your actual rights and obligations are set by your signed creator agreement and the program terms in effect at the time. Earnings examples on the Site are illustrations, not promises or guarantees of income. We record or repost livestream content only with the creator's written consent.

5. Advertisers

Campaign results, including reach, engagement, sales and return on ad spend, vary and are not guaranteed. Advertising spend paid to Meta, TikTok or other platforms is separate from AutoBBCC's fees and subject to those platforms' terms and policies. Advertisers are responsible for the accuracy and legality of their product claims, offers and materials, and for complying with advertising and endorsement laws, including FTC disclosure rules.

6. No securities offer

Nothing on the Site is an offer to sell, or a solicitation of an offer to buy, any security. Any option for creators to receive company stock in place of referral commissions is available only under separate written program terms, subject to eligibility, board approval and applicable securities and tax laws.

7. Submissions and content

When you submit information to us, such as a demo request or creator application, you confirm it is accurate and that you have the right to share it. Except as set out in a signed agreement, you keep ownership of content you submit and give us a limited license to use it to evaluate and respond to your request. Do not send confidential information through the Site unless we have agreed in writing to keep it confidential.

8. Intellectual property

The Site and its content, including text, design, graphics, images, video, logos and the AutoBBCC name, are owned by or licensed to AutoBBCC and protected by intellectual property laws. You may view and print pages for your personal or internal business use. You may not copy, modify, distribute, sell or create derivative works from the Site without our written permission. Instagram, Facebook, TikTok, YouTube and other platform names are trademarks of their owners; AutoBBCC is not affiliated with or endorsed by them unless we say so expressly.

9. Acceptable use

You agree not to: use the Site for any unlawful purpose; submit false or misleading information; attempt to gain unauthorized access to the Site or its systems; interfere with the Site's operation, including with bots, scrapers or malicious code; or infringe anyone's intellectual property, privacy or publicity rights.

10. Third-party platforms and links

The Site may link to or rely on third-party services, such as social media platforms, hosting providers and payment processors. We are not responsible for their content, policies or availability, and your use of them is governed by their own terms.

11. Disclaimers

THE SITE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT PERMITTED BY LAW, AUTOBBCC DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. We do not warrant that the Site will be uninterrupted, error-free or free of harmful components.

12. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, AUTOBBCC WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE OR DATA, ARISING FROM YOUR USE OF THE SITE. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SITE WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US$100). Liability under a signed Order is governed by that Order. Nothing in these Terms limits liability that cannot be limited under applicable law.

13. Indemnification

You agree to defend, indemnify and hold harmless AutoBBCC and its officers, employees and agents from claims, losses and expenses (including reasonable attorneys' fees) arising from your violation of these Terms or misuse of the Site.

14. Governing law and disputes

These Terms are governed by the laws of the State of California, without regard to its conflict-of-law rules. Before filing a claim, you agree to contact us at legal@autobbcc.com and try in good faith to resolve the dispute informally for at least 30 days. Any dispute that is not resolved will be brought exclusively in the state or federal courts located in Orange County, California, and you and AutoBBCC consent to their personal jurisdiction, except that either party may bring an individual claim in small claims court.

15. Changes and termination

We may update these Terms by posting a new version with a new "Last updated" date. Continued use of the Site after changes take effect means you accept them. We may suspend or end access to the Site for anyone who violates these Terms. Sections that by their nature should survive will survive termination.

16. Notice to California users

Under California Civil Code § 1789.3, California users are entitled to the following consumer rights notice: the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs may be contacted in writing at 1625 North Market Blvd., Suite N112, Sacramento, CA 95834, or by telephone at (800) 952-5210. AutoBBCC does not charge for use of the Site itself; fees for services are set out in an Order.
